1. Acceptance of Terms
By engaging TBD Logistics ("TBD Logistics", "we", "us", or "our"), a division of DuabaLabs, for any logistics, shipping, import/export, or supply chain services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").
If you do not agree to these Terms, you must not use our Services. We reserve the right to modify these Terms at any time. Continued use of the Services constitutes acceptance.
2. Services Description
TBD Logistics provides:
- Import and export logistics between Africa and global markets (China, US, Europe, Middle East)
- Freight forwarding via air, sea, and land
- Customs brokerage and clearance services
- Warehousing and storage solutions
- Last-mile delivery services
- Supply chain consulting and optimization
3. Shipment Terms
- Accurate Information: You must provide accurate descriptions of cargo including contents, weight, dimensions, and declared value. Misrepresentation may result in additional charges, delays, or service refusal.
- Prohibited Items: We do not ship illegal goods, hazardous materials not properly declared, counterfeit products, weapons, or items prohibited by origin/destination country laws.
- Packaging: Cargo must be properly packaged and labeled. TBD Logistics is not liable for damage caused by inadequate packaging.
- Documentation: You must provide all required trade documents including commercial invoices, packing lists, and certificates as applicable.
4. Pricing and Payment
- Quotes are valid for 14 days unless otherwise stated and are subject to actual cargo dimensions and weight.
- Prices exclude customs duties, taxes, and government fees unless explicitly stated.
- Payment is due upon invoice unless credit terms are agreed in writing.
- Late payments may incur interest and suspension of services.
- Additional charges may apply for re-delivery, storage, address corrections, or customs examinations.
5. Customs and Compliance
While we assist with customs clearance, the importer/exporter of record remains ultimately responsible for compliance with all applicable trade laws and regulations. You authorize TBD Logistics to act as your customs broker and sign documents on your behalf where required.
Any fines, penalties, or costs arising from incorrect or fraudulent declarations by the client shall be borne by the client.
6. Liability and Insurance
- TBD Logistics liability is limited to the terms of the applicable shipping agreement and international conventions (e.g., Hague-Visby Rules, Montreal Convention).
- We strongly recommend cargo insurance for all shipments. Insurance can be arranged through our partners upon request.
- We are not liable for delays caused by force majeure, customs examinations, government actions, weather events, or other circumstances beyond our reasonable control.
- Claims for loss or damage must be filed within 30 days of delivery (or expected delivery date).
7. Delivery and Transit Times
Transit times provided are estimates and not guarantees. Actual delivery times may vary due to customs processing, weather, carrier schedules, port congestion, or other factors. TBD Logistics will make reasonable efforts to meet estimated timelines and communicate any significant delays promptly.
8. Cancellation and Refunds
- Cancellations before cargo pickup: Full refund minus any processing fees.
- Cancellations after cargo pickup: Costs incurred to date (transport, handling, documentation) are non-refundable.
- Cancellation of customs clearance services is not possible once documents have been submitted to authorities.
9. Indemnification
You agree to indemnify and hold harmless TBD Logistics, its parent company DuabaLabs, officers, employees, and partners from any claims, losses, or damages arising from your use of our Services, including false declarations, prohibited shipments, or violation of trade laws.
10. Governing Law and Disputes
These Terms are governed by the laws of Ghana. Any disputes shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to arbitration in Accra, Ghana under the rules of the Ghana Arbitration Centre.
For international shipments, the applicable international conventions and the laws of the relevant jurisdictions may also apply.
